WAALWIJK, The Netherlands, April 12, 2010 /PRNewswire/ -- The Management Board of DOCDATA N.V. announces that its subsidiary Docdata Germany GmbH has signed a final agreement to acquire all activities of the Dohmen Solutions Group in Germany. This agreement will be implemented on 16 April 2010 and encompasses the acquisition of clients, personnel and certain assets, mainly stocks and an extensive back office IT-system. The total purchase price of the acquired activities, which will not be disclosed, will be fully paid in cash. The management of Docdata expects these activities to contribute a minimum of EUR 10 million to revenue on a yearly basis.
The purchase agreement has been signed with the administrator of Dohmen Solutions, as the holding company Dohmen Solutions GmbH Co. KG and most of its subsidiaries went into receivership per 6 March 2010. The administrator has negotiated intensively the last weeks with several interested parties regarding carrying on the activities of Dohmen Solutions. Finally Docdata was chosen by the administrator as the best party to pursue a deal with and was proposed as the buyer. After the creditors accepted the proposal of the administrator, the purchase agreement could be signed by the administrator and became final.
Dohmen Solutions is an important player in the e-commerce services market in Germany and has a client base with well known clients. Presently the clients are being serviced from three locations in Southern Germany, in the vicinity of Munich, and from one location centrally located in Germany, in Eschwege. Docdata has the intention to keep three locations operational and will implement a reorganisation in order to increase the efficiency. All more than 200 employees of Dohmen Solutions will be offered a new employment contract with Docdata in Germany. The management of Docdata expects that the acquired activities will only add to the profit of Docdata in 2011 and that in 2010 substantial costs will be incurred in order to increase the efficiency and reduce the cost base of the acquired activities.
